ENTRIA TERMS OF USE
Effective Date: February 17, 2026
These Terms of Use (“Terms”) govern access to and use of the Entria mobile applications, web dashboard, and related services (collectively, the “Service”) provided by Entria (“Entria,” “we,” “us,” or “our”).
By creating an account, checking an acceptance box, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Important note about our role: Entria provides a technology platform used by building owners/management and their security staff to verify residents and manage entry. We are not your landlord, property manager, or a security guard company.
1) Definitions
- “Building” / “Property”: The building owner, landlord, condominium/co-op, management company, and their authorized agents, including front desk staff and security guards.
- “User” / “You”: Any person who registers for or uses the Service (resident, guest, staff, manager, guard).
- “Tenant of Record”: The person(s) identified in the Property’s current lease/proprietary lease/occupancy record as the lawful tenant/occupant for a unit.
- “Authorized Occupant/Agent”: A person the Property authorizes for access (e.g., approved household member, roommate approved by management, caregiver, or other delegate).
- “Credential”: Any QR code, short code, pass, token, or other access credential generated by Entria, including dynamic QR codes and time-limited guest passes.
- “Entry Logs”: Records created when Credentials are generated/verified (e.g., timestamp, verification method, result; and where enabled, photos).
2) Eligibility
The Service is not intended for individuals under 16.
By using the Service, you represent you meet this requirement and have the legal capacity to accept these Terms.
3) Entria’s Role and the Property’s Role
3.1 Technology Provider; No Tenancy Determinations
Entria provides software that helps building staff verify tenants, manage guest access, and log entries.
The Property is the source of truth for who is a Tenant of Record and who is authorized for access. Entria does not adjudicate tenancy, occupancy rights, disputes, or eviction/lockout matters.
3.2 Property Decisions Control
Approval, denial, limitation, or removal of access privileges may be controlled by the Property’s policies and instructions to Entria.
4) Registration, Authority, and Tenant-of-Record Attestation
When you register (or are registered) for resident access, you represent, warrant, and agree that:
- Authority: You are either (a) the Tenant of Record, or (b) an Authorized Occupant/Agent approved by the Property for the unit/building you select.
- Accuracy: All information you provide (name, unit, phone/email, and any other requested fields) is true, accurate, current, and complete.
- Ongoing Duty: You will update your information promptly and will stop using the Service for that Property if you move out or your authorization ends.
- No Impersonation: You will not register as, or on behalf of, another person unless you are expressly authorized by the Property and (where applicable) by that person.
4.1 Verification; Refusal; Revocation
Entria may require additional verification at any time (e.g., email/SMS verification; management approval; roster/lease match; ID documentation where enabled). If information cannot be verified or appears inconsistent, Entria and/or the Property may deny, suspend, restrict, or revoke access.
5) Credentials, QR Codes, and Guest Invites
Entria may provide residents with dynamic QR codes that refresh automatically, and may allow residents to issue time-limited guest passes (e.g., link-based invites).
You agree that:
- Credentials are for your personal use (or your invited guest’s use) only, for lawful entry consistent with Property rules.
- You will not sell, copy, forward, screenshot, post, or otherwise distribute Credentials except as expressly permitted by the Service for guest invites.
- You are responsible for your guests’ conduct and compliance with building rules.
6) Guard/Staff Verification; No Guaranteed Entry
Guards/security staff may scan a Credential or enter a manual code to verify entry and create an audit trail.
Final entry decisions are made by the Property and its staff and may include additional checks (e.g., ID check, unit confirmation). Entria does not guarantee you (or your guests) will be admitted in every circumstance, even if the app displays a Credential.
7) User Responsibilities and Prohibited Conduct
You agree not to:
- Provide false or misleading information about identity, unit, or authorization status.
- Use the Service to gain unauthorized entry or to assist anyone else in doing so.
- Share passwords, bypass security, probe the Service, scrape data, reverse engineer, or interfere with operations.
- Use the Service in a way that violates law, building rules, or the rights/safety of others.
You are responsible for maintaining the security of your account, device, and login credentials.
8) Entry Logs, Photos, and Audit Trail
Entria maintains an entry audit trail (timestamps, methods, results; and where enabled, photos and verification methods) to support building security and operations.
You acknowledge:
- Your name, unit, and (if provided) profile photo may be displayed to guards during verification.
- Your entry activity may be visible to the Property’s management administering your building.
- Logs may be retained for security and audit purposes.
9) Privacy; Data Sharing; Communications
Your use of the Service is also governed by Entria’s Privacy Policy (the “Privacy Policy”).
Without limiting the Privacy Policy, you agree that:
- Entria may share relevant account and entry data with building management, guards/security staff, and service providers necessary to operate the platform.
- Entria does not sell personal information.
- Entria may send service communications (verification codes, guest arrival notices, password resets, security alerts) via push/email/SMS as described in the Privacy Policy.
10) Device Permissions
The app may request:
- Camera access to scan QR codes for entry verification.
- Photo library access to upload a profile picture (optional).
You can manage these permissions via your device settings.
11) Availability; Maintenance; Changes
The Service is provided “as available.” Outages, delays, maintenance, or connectivity issues may occur. Entria may modify, suspend, or discontinue features at any time, including credential formats and verification workflows.
12) Termination and Suspension
Entria and/or the Property may suspend or terminate your access immediately if:
- you are no longer authorized for the unit/building,
- the Property instructs us to remove access,
- we suspect fraud, misuse, or security risk, or
- you violate these Terms or building rules.
13) Intellectual Property
The Service, including software, design, text, graphics, logos, and all related intellectual property, is owned by Entria or its licensors. You receive a limited, revocable, non-transferable license to use the Service solely as permitted by these Terms.
14) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- No security guarantee: Entria is an access management tool; it does not guarantee prevention of unauthorized entry, theft, or harm.
- No warranty: The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind (express or implied), including merchantability, fitness for a particular purpose, and non-infringement.
- Emergency: Do not rely on the Service for emergency response; contact emergency services and/or building staff directly.
15) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Entria is not liable for indirect, incidental, special, consequential, or punitive damages; loss of profits; loss of data; business interruption; or claims arising from access decisions made by the Property, guards, or other third parties.
- Entria’s total liability for any claim related to the Service will not exceed the greater of: (a) $100, or (b) the amounts paid to Entria for your use of the Service in the 12 months prior to the event giving rise to the claim (if any).
- Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., certain claims based on gross negligence or willful misconduct).
16) Indemnification
You agree to defend, indemnify, and hold harmless Entria and its officers, directors, employees, contractors, agents, and licensors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- your false statements about being the Tenant of Record or otherwise authorized,
- your misuse, sharing, or distribution of Credentials,
- your guests’ actions,
- your violation of these Terms, building rules, or applicable law.
17) Third-Party Beneficiaries
The Property and its security providers/guards are intended third-party beneficiaries of Sections 4, 5, 6, 12, 15, and 16, and may enforce those sections.
18) Governing Law; Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in New York County, New York, and you consent to jurisdiction and venue there.
19) Changes to These Terms
We may update these Terms from time to time. We will post updated Terms and update the Effective Date. Continued use of the Service after changes become effective constitutes acceptance.
